Terms of service

The contract between you and FDEOS Ltd. Please read carefully — using the Service means you accept these Terms.

  1. 01About these Terms

    These Terms of Service ("Terms") form a binding contract between you ("User", "you") and FDEOS Ltd, a company registered in England and Wales ("FDEOS", "we", "us"). They govern your access to and use of the website fdeos.com, the FDEOS application and any associated APIs and emails (together, the "Service"). By creating an account or otherwise using the Service you confirm that you accept these Terms and have authority to bind your organisation where applicable. If you do not accept them, do not use the Service.
  2. 02What FDEOS provides

    FDEOS operates a marketplace and directory for verified AI implementers and the organisations that wish to hire, contract or otherwise engage them. We facilitate introductions, intake-based matching, paid roles ("Featured Listings"), a subscription "Talent Search" product, a "Lane C" consulting marketplace, a "Founding Partner" agency-referral network and an editorial newsletter. We do not employ implementers and we are not an employment agency or employment business within the meaning of the Employment Agencies Act 1973 except where we expressly opt in to that status for a particular service line. We are an intermediary; final hiring, contracting and engagement decisions are yours.
  3. 03Eligibility and accounts

    You must be at least 18 years old and able to enter into a binding contract under UK law. You must provide accurate registration information and keep it current. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us at security@fdeos.com without delay of any unauthorised access. We may suspend or close accounts that breach these Terms or that we reasonably suspect of fraud, misuse or risk to other Users.
  4. 04User content and licence to FDEOS

    Content you submit — including profiles, job postings, intake answers, messages, reviews, voice recordings and uploaded documents ("User Content") — remains yours. By submitting User Content you grant FDEOS a worldwide, royalty-free, sub-licensable, non-exclusive licence to host, store, reproduce, adapt, publicly display, transmit, format, excerpt, anonymise, aggregate and otherwise use the User Content as needed to operate, promote and improve the Service. This licence survives termination to the extent necessary for archival, audit, legal, anti-fraud and aggregate-statistics purposes. You warrant that you own or have all rights necessary to grant this licence and that the User Content does not infringe third-party rights.
  5. 05Verification and directory accuracy

    We verify implementer credentials in good faith using available signals (employment history, references, technical artefacts). We do not warrant the accuracy, completeness, qualifications, conduct or suitability of any User. Employers and other counterparties are responsible for performing their own due diligence — including right-to-work, references, background checks, and reasonable competence assessments — before engaging an implementer. Caveat emptor applies. FDEOS is not party to any engagement between a User and a third party and is not liable for the outcome of any such engagement.
  6. 06Paid services

    Talent Search: a recurring subscription priced as displayed at checkout (the current standard is £399/month per seat plus VAT, multi-seat options available). The subscription auto-renews monthly until cancelled in /dashboard/settings. Cancellation takes effect at the end of the then-current billing period. A 14-day free trial requires a payment card on file; the first charge occurs on day 15 unless you cancel earlier. Featured Listings: a one-off paid placement priced as displayed at checkout (current standard £399 per post). Placement begins on confirmation and runs for the period stated; once placement has begun the fee is non-refundable. Founding Partner / Lane C lead fees: paid by the partner / implementer, not by you as the buyer, unless expressly stated otherwise at the point of purchase. All prices are in pounds sterling unless another currency is shown. VAT is added where applicable. You authorise us (or our payments processor, Stripe) to charge the payment method on file for sums due. Failure to pay may result in suspension; we may exercise our statutory right to interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998 where you are not a consumer.
  7. 07Consumer cancellation right

    Where you contract with us as a consumer in the UK, you have a 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By starting use of a digital service or a service whose performance begins during the cancellation window — including beginning a Talent Search trial, a Featured Listing placement, an intake report, or any other on-demand service — you expressly request immediate performance and acknowledge that you lose the right to cancel once performance has begun. We will not refund fees for performance already delivered.
  8. 08Refunds policy

    Subscription fees are non-refundable for the current billing period once charged. Featured Listing fees are non-refundable once placement has begun. Where we have made a genuine billing error we will issue a corrective refund without delay. Otherwise, all sums are final. Statutory rights (including any non-excludable consumer rights) are not affected.
  9. 09Acceptable use

    You agree to comply with our Acceptable Use Policy at /acceptable-use, incorporated by reference. In particular: no scraping, no impersonation, no fake postings, no off-platform circumvention of fee-bearing introductions, no use of the Service to harass or deceive others, no upload of unlawful content. Breach is a material breach of these Terms.
  10. 10Privacy and data protection

    Our processing of personal data is governed by our Privacy Policy at /privacy. FDEOS is the data controller in respect of account, profile, intake and analytics data; we act as a processor for limited categories of User Content where so identified. We use sub-processors listed in the Privacy Policy. You are responsible for ensuring you have lawful basis to share any third-party personal data with us (for example, a candidate's name and email submitted through an outreach feature).
  11. 11Intellectual property

    All intellectual property in the Service — including software, design, copy, trade marks ("FDEOS", the FDEOS mark, logo), documentation, the structure and selection of the directory, and any FDEOS-generated reports — is and remains the property of FDEOS or its licensors. Nothing in these Terms transfers ownership to you. You receive a limited, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose, subject to these Terms.
  12. 12Beta and AI-generated outputs

    Some features are labelled "beta" or experimental and provided on an "as is" basis with no warranty of any kind. Outputs generated by AI components — intake summaries, candidate suggestions, roadmap drafts, smart-search rankings — are statistical estimates, may contain errors and must not be relied on as the sole basis of any hiring, legal, financial or commercial decision. You remain responsible for verifying outputs before acting on them.
  13. 13Suspension and termination

    We may suspend, restrict or terminate your access at any time without notice where, in our reasonable judgement, you have breached these Terms, where required by law, where continued access poses risk to the Service or to other Users, or where we cease to offer a particular feature. Where the breach is curable we will, where reasonably practicable, give notice and an opportunity to cure. You may terminate at any time from /dashboard/settings or by emailing hello@fdeos.com. On termination: (a) your licence to use the Service ends; (b) the licence in clause 4 survives to the extent stated; (c) accrued sums remain payable; (d) clauses by their nature surviving termination (warranties, indemnity, limitation of liability, governing law) continue.
  14. 14Warranties and disclaimers

    Except to the extent expressly stated, the Service is provided "as is" and "as available". To the maximum extent permitted by law, FDEOS disclaims all warranties, conditions and other terms (whether express or implied by statute, common law, course of dealing or otherwise), including any implied warranties of satisfactory quality, fitness for a particular purpose, reasonable care and skill, accuracy, non-infringement, security, uninterrupted availability and freedom from defect. Where you contract as a consumer, your non-excludable statutory rights under the Consumer Rights Act 2015 are unaffected.
  15. 15Indemnity

    You will indemnify, defend and hold harmless FDEOS, its officers, employees, agents and contractors from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees on a full-indemnity basis) arising out of or related to: (i) your User Content; (ii) your use of the Service in breach of these Terms or applicable law; (iii) any engagement or transaction between you and another User; (iv) your breach of any third-party rights (including intellectual property, privacy and confidentiality); (v) any tax obligation arising on your side of a transaction the Service facilitated.
  16. 16Limitation of liability

    Nothing in these Terms limits liability that cannot be limited under English law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under section 2(3) of the Consumer Protection Act 1987. Subject to the paragraph above: (a) FDEOS will not be liable for indirect, special, incidental, consequential, punitive or exemplary damages, or for any loss of profit, revenue, business, goodwill, opportunity, anticipated savings or data, however arising and whether or not foreseeable; (b) FDEOS's aggregate liability arising out of or in connection with these Terms, the Service and any related matter — whether in contract, tort (including negligence), breach of statutory duty or otherwise — will not exceed the greater of (i) the total fees actually paid by you to FDEOS in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred pounds sterling (£100). This cap applies in aggregate to all claims, however many.
  17. 17Hiring outcomes are between Users

    Any engagement, contract, employment, payment, intellectual-property assignment, confidentiality obligation or other relationship between Users (employer and implementer, partner and client, etc.) is between those Users and FDEOS is not a party. We are not responsible for the performance, conduct, payment, classification or any other aspect of those engagements. You are solely responsible for compliance with employment, tax (including IR35 where applicable), immigration and contractor-classification law in your jurisdiction.
  18. 18Third-party services

    The Service interoperates with third-party services (payments, identity, hosting, model providers). Your use of those services may be governed by their own terms. We are not responsible for the availability or content of third-party services and the inclusion of any third-party link or integration does not imply endorsement.
  19. 19Changes to the Service or Terms

    We may change the Service at any time, including adding, modifying or removing features. We may change these Terms by posting the updated version at /terms with a new "Last updated" date and, for material changes, giving at least 14 days' notice via email or in-product banner. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes you must stop using the Service.
  20. 20Force majeure

    We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of god, war, terrorism, civil unrest, government action, pandemic, fire, flood, network or power failure, denial-of-service attack or failure of any third-party service on which the Service depends.
  21. 21Assignment

    You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or novate these Terms in connection with a merger, acquisition, reorganisation, sale of assets or by operation of law.
  22. 22No partnership

    Nothing in these Terms creates a partnership, joint venture, agency, employment or fiduciary relationship between you and FDEOS.
  23. 23Severance and waiver

    If any provision (or part) is held invalid or unenforceable it will be modified to the minimum extent necessary to make it valid and enforceable, or severed; the remainder of these Terms will continue in force. A waiver of any breach is not a waiver of any subsequent breach.
  24. 24Third-party rights

    A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of their provisions.
  25. 25Notices

    Notices to FDEOS must be sent to hello@fdeos.com (general) or legal@fdeos.com (legal). Notices to you will be sent to the email address on your account or displayed in-product. Notices are deemed received on the first business day after sending where electronic means are used.
  26. 26Entire agreement

    These Terms, together with the Privacy Policy, Cookie Policy and Acceptable Use Policy referenced within them, are the entire agreement between you and FDEOS in respect of the Service and supersede any prior agreement on the same subject matter. No reliance is placed on any representation not expressly set out in these Terms.
  27. 27Governing law and jurisdiction

    These Terms and any non-contractual obligations arising out of them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, claim or matter arising out of or in connection with these Terms or the Service, except that we may bring proceedings in any jurisdiction for the protection of our intellectual property or to enforce a judgment. Nothing in this clause restricts a consumer's right to bring proceedings in the courts of their place of habitual residence where applicable law so provides.
